PEMBENTUKAN DANANTARA DALAM MENDUKUNG TRANSFORMASI BADAN USAHA MILIK NEGARA: TINJAUAN TEORI HUKUM

Abstract

Transformasi BUMN dalam UU No. 1 Tahun 2025 mencerminkan pergeseran besar dalam hukum ekonomi negara. UU BUMN menekankan peningkatan efisiensi BUMN guna mendorong kinerja BUMN agar mampu berperan sebagai alat negara untuk meningkatkan kesejahteraan rakyat. Pembentukan BPI Danantara merupakan babak baru reformasi pengelolaan kekayaan negara yang dipisahkan dalam bentuk BUMN. Peran Danantara dalam mendukung transformasi BUMN diharapkan dapat membuat semakin efisiennya BUMN dalam hal pengambilan keputusan strategis di bidang investasi dan pemanfaatan aset yang selama ini berada dalam pengelolaan masing-masing BUMN dan koordinasi lintas kementerian. Dengan demikian diharapkan akan dapat memaksimalkan nilai aset BUMN secara keseluruhan guna tujuan investasi, dan tujuan perolehan tambahan modal di luar dana APBN.

          The transformation of state-owned enterprises (SOEs) in Law No. 1 of 2025 reflects a major shift in the country's economic law. The SOE Law emphasizes improving the efficiency of SOEs in order to boost their performance so that they can serve as a tool of the state to improve the welfare of the people. The establishment of BPI Danantara marks a new chapter in the reform of state asset management, which is separated in the form of SOEs. Danantara's role in supporting SOE transformation is expected to make SOEs more efficient in terms of strategic decision-making in the areas of investment and asset utilization, which have previously been managed by individual SOEs and coordinated across ministries. This is expected to maximize the overall value of SOE assets for investment purposes and to obtain additional capital outside the state budget.
